Factorize License

This license covers the Factorize software: the Factorize plugins (Essentials, Catalog, Analytics, Storefront, Auctions, Perks, Portal, Watch, Vision, Setup), the Empire Tools theme, the Factorize Site Builder, the Factorize License Server, the Factorize site theme, and all related documentation, artwork, seeds, and scripts in this repository (the "Software"). "We", "us", and "Licensor" mean WebYoungstown / Empire Tools. "You" means the person or company using the Software.

The Software is licensed, not sold. It is not open source. Nothing in this license grants you any right except those written below.

1. What you may do

Subject to this license, we grant you a limited, non-exclusive, non-transferable, revocable license to:

install and use the Software on WordPress sites that you own or operate for your own business;
modify the Software for your own use on those sites, provided the copyright, license, and trademark notices stay intact;
make backup copies for your own use.

Free-tier features are free of charge for the sites above. AI features (Factorize Vision) are metered in Factorize tokens; the included monthly allowance and any additional allowance are governed by your license key and the Terms of Service.

2. What you may not do

You may not, and may not allow anyone else to:

copy, publish, distribute, sell, resell, sublicense, rent, lease, lend, or otherwise make the Software or any part of it available to any third party, whether modified or not, whether for a fee or free;
offer the Software, or a service substantially built on it, to third parties (hosting it for others, "white-labelling" it, bundling it in a theme, plugin, marketplace listing, or hosting package);
remove, hide, or alter any copyright, license, or trademark notice, the Factorize hub, or the license activation;
circumvent, disable, or tamper with license activation, the token allowance, usage reporting, or any other technical measure in the Software;
use the Factorize or Empire Tools names, logos, or trade dress except to truthfully describe that your site uses the Software;
use the Software to build a competing product or to train a machine learning model on its code.

3. Ownership

The Software, and every copy of it, is and remains the property of the Licensor. Modifications you make for your own use remain subject to this license; you grant us a perpetual, royalty-free right to use any improvement you send us. The names Factorize™ and Empire Tools™ and the Factorize wordmark are trademarks of the Licensor (see TRADEMARKS.md).

4. Third-party components

WordPress, WooCommerce, Ultimate Auction for WooCommerce, and any other third-party software you install alongside the Software are not covered by this license and keep their own licenses (typically the GPL). The Software communicates with those products through their public hooks and APIs. If any part of the Software is found to be a derivative work of GPL software and therefore subject to the GPL, that part is licensed to you under the GPL to the extent required and the rest of this license continues to apply to everything else.

5. Distribution channels

The Software is distributed only from the Factorize site and by the Licensor directly. Copies obtained from anywhere else are unlicensed. The Licensor may, at its sole option, publish specific plugins on WordPress.org under the GPL; only such an explicitly relicensed copy is GPL-licensed, and only the version published there.

6. Term and termination

This license lasts until terminated. It terminates automatically if you breach it. On termination you must stop using the Software and delete all copies. Sections 3, 7, 8, and 9 survive termination.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PRICE ESTIMATES, PRODUCT NAMES, AND COUNTS PRODUCED BY AI FEATURES ARE SUGGESTIONS FOR YOUR REVIEW, NOT FACTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. THE LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS, WHICHEVER IS GREATER.

9. General

This license is governed by the laws of the State of Ohio, USA, without regard to conflict-of-law rules, and any dispute will be brought in the state or federal courts located in Cuyahoga County, Ohio. If any provision is unenforceable, the rest remains in effect. This is the entire agreement about the Software and replaces any earlier terms. Failure to enforce a provision is not a waiver.
